On July 23 2026, Aldebaran Resources Inc. (TSX‑V: ALDE, OTCQX: ADBRF) and its majority‑owned subsidiary Centauri Minerals Inc. announced that they had successfully closed a private placement of subscription receipts, raising a total of C$25,486,000.

The transaction was split into two parts. First, a brokered private placement issued 17,486,000 subscription receipts at C$1.00 each, generating C$17,486,000 in gross proceeds. TD Securities Inc. served as sole bookrunner, with ATB Cormark Capital Markets, Canaccord Genuity Corp. and National Bank Financial Inc. acting as co‑agents. Second, a non‑brokered private placement sold 8,000,000 receipts at the same price, adding C$8,000,000 to the total.

All proceeds were placed in escrow with Olympia Trust Company, the subscription‑receipt agent, under a subscription‑receipt agreement dated July 22 2026. From the escrowed funds, 50 % of the agents’ commission on the brokered offering and certain eligible agent expenses were deducted. Each subscription receipt will automatically convert into one freely tradeable common share of Centauri on the escrow release date, provided the conditions are met. If the conditions are not met by September 30 2026, holders will receive 1.1 common shares instead. If the conditions are not satisfied by the escrow deadline—120 days from the offering date or a later date agreed to by at least two‑thirds of the holders—or if the spin‑out transaction is terminated, the escrowed funds will be returned to holders on a pro‑rata basis within five business days.

Centauri will use the net proceeds to advance exploration of its Rio Grande gold‑copper project in Salta, Argentina, and to support other portfolio assets and general corporate purposes. The Rio Grande project is the company’s most advanced asset and has a National Instrument 43‑101‑compliant mineral resource estimate that highlights significant gold and copper quantities.

Aldebaran was spun out of Regulus Resources Inc. in 2018 and retains the same core management team. The company holds an 80 % interest in the Altar copper‑gold project in San Juan Province, Argentina. In November 2024 Aldebaran released an updated mineral resource estimate for Altar, and in October 2025 it announced a preliminary economic assessment.

Centauri was created as a new exploration company focused on Northern Argentina. It holds 100 % interest in a portfolio of projects covering roughly 40,000 hectares across Salta, Jujuy and Catamarca provinces. The company is majority‑owned by Aldebaran and plans to become a public company in 2026.

The closing of the subscription‑receipt offering gives Centauri the capital to accelerate its exploration program while maintaining a clear path to TSX‑V listing. The companies will monitor the escrow release conditions closely, and the next key milestones will be the approval of the common shares for listing and the completion of the spin‑out transaction.
