Rush Enterprises and MCT Companies Announce 50/50 Joint Venture to Expand Refrigerated Transportation Services
The partnership brings together Rush’s extensive dealership infrastructure with MCT’s deep expertise in refrigerated transportation equipment. MCT currently operates 17 full‑service Carrier Transicold dealerships and three mobile service locations in California, Nebraska, Kansas, North Carolina, South Carolina and Virginia. By combining their resources, the joint venture aims to invest in technology, broaden service capabilities and strengthen support for customers who rely on refrigerated fleets.
Bill Willett, MCT’s chief executive officer, will serve as president of MCT Holdings, LLC. According to the press release, Rush’s chairman, chief executive officer and president, W.M. “Rusty” Rush, said the venture aligns with the company’s strategy to broaden its presence in adjacent commercial vehicle segments and to deepen customer relationships. Rush highlighted that the partnership would help moderate the cyclicity of the commercial truck market and create long‑term shareholder value through revenue diversification.
MCT’s CEO noted that the collaboration provides access to additional capital and operational resources, enabling the company to accelerate growth and improve service responsiveness for refrigerated fleets. MCT has been recognized as the Dealer of the Year for the United States and Canada by Carrier Transicold in 2024.
Rush Enterprises operates more than 160 Rush Truck Centers in 24 states and Ontario, Canada. The centers sell new and used trucks from manufacturers such as Peterbilt, International, Hino, Isuzu, Ford, IC Bus and Blue Bird, and offer aftermarket parts, service, body shop operations, financing, insurance and leasing. The company also provides CNG fuel systems, telematics products, vehicle modification and up‑fitting, chrome accessories and tires.
MCT Companies, founded in 1986, employs over 220 people and specializes in Carrier Transicold truck, trailer and rail refrigeration and auxiliary power units. The company sells parts, provides service at each dealership, operates a mobile service fleet and offers refrigerated trailer rentals.
The joint venture will not be consolidated into Rush Enterprises’ Truck Segment or any other operating segment for financial reporting purposes. Its operations will focus on the refrigerated transportation market, leveraging Carrier Transicold’s premium cooling and refrigeration technology.
The announcement comes amid continued demand for refrigerated logistics solutions across North America. By combining Rush’s dealership reach with MCT’s specialized equipment network, the joint venture aims to deliver enhanced service uptime and technology investments for customers who maintain temperature‑controlled fleets.
The parties have not disclosed a purchase price or specific financial terms. The transaction remains subject to customary closing conditions, including regulatory approvals and third‑party consents. If successful, the joint venture will be operational by the end of 2026.
The partnership reflects a broader trend of consolidation and specialization within the commercial vehicle and logistics sectors, as companies seek to diversify revenue streams and strengthen service capabilities in response to market volatility.
As of today, Rush Enterprises and MCT Companies have not announced any immediate changes to their existing operations or leadership beyond the joint venture. The next key milestone will be the closing of the transaction in Q3 2026, after which the new entity will begin integrating operations and expanding service offerings.
